These Terms explain what a pledge means, when payment may be taken, and how an iqshard Share becomes a recurring subscription.

1. Who we are

iqshard is provided by K42 Software OÜ, company number 14659978, registered at Sepapaja 6, Tallinn, Harju maakond, 15551, Estonia. These Terms govern pledges for and use of iqshard.

2. Accounts and workspaces

You must provide accurate account information, keep your credentials secure, and promptly tell us about unauthorized access. You are responsible for activity performed through your account.

When you accept these Terms for a workspace, you confirm that you are authorized to act for that workspace and bind it to these Terms.

3. Pledges

A pledge records the number and class of Shares your workspace intends to buy on a specific server. Submitting a pledge does not make an immediate charge and does not guarantee that the server will proceed.

While a server remains in funding, you may change or delete your pledge subject to available capacity. If the server does not proceed, the pledge ends without a charge.

4. Payment authorization

You authorize K42 Software OÜ to save the payment method provided for your workspace and to charge it if the pledge proceeds. The amount is based on the Share class, quantity, and price shown when you submit or update the pledge, plus any applicable tax.

A saved payment method does not guarantee that a later charge will succeed. We may ask you to update or authenticate the payment method if a charge fails.

5. Service start and recurring subscription

Service access begins when the server is ready and your Share is activated. From that point, each Share continues as a monthly recurring subscription until canceled.

We charge the workspace payment method at the start of each billing period. You may cancel before the next renewal to stop future charges. Except where required by law, charges for a billing period that has started are not refundable.

6. Pay-as-you-go balance

An API key created in pay-as-you-go mode draws from a USD balance held for your workspace, billed per token at our published rates, rather than a Share’s fixed monthly entitlement. Adding $10 credits your balance exactly $10; Stripe calculates and charges any applicable tax separately.

Each top-up expires 12 months after payment, and your balance is drawn down in the order it was added, oldest first. You may top up manually at any time, or turn on automatic top-up to refill your balance by a fixed amount whenever it falls below a threshold you choose, with no limit on how many times that happens in a month. You can turn automatic top-up off at any time.

Top-ups are not refundable on request. If Stripe reports a refund to us for a top-up charge, we reverse the refunded amount against your balance, which may leave it negative if you had already used some of that top-up; further pay-as-you-go use is paused until the balance is positive again.

7. The service

A Share provides the priority class described on the pricing and how-it-works pages for a specific shared server. It is not ownership of hardware, a dedicated virtual machine, or a token allowance.

You must use the service lawfully and must not interfere with the service, other customers, or the underlying infrastructure. We may restrict or suspend access needed to protect the service, comply with law, or address abuse.

8. Availability and changes

Shared infrastructure can experience maintenance, contention, and outages. We do not promise uninterrupted or error-free availability. We may make reasonable technical changes needed to operate, secure, or improve the service without removing the core priority class purchased by the workspace.

9. Liability

To the extent permitted by law, iqshard is provided without implied warranties and K42 Software OÜ is not liable for indirect, incidental, special, or consequential loss, including loss of profit, revenue, data, or business opportunity.

Our total liability arising from the service is limited to the amount the workspace paid for iqshard during the three months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits mandatory consumer rights.

10. Termination

You may stop using the service and cancel active subscriptions. We may terminate access for a material breach of these Terms, unlawful use, non-payment, or a threat to the service or other customers. Terms that by their nature should continue after termination remain in effect.

11. Governing law and contact

These Terms are governed by Estonian law. Courts in Estonia have jurisdiction, except where mandatory law gives you the right to bring a claim elsewhere.
